DAVID SYLOFSKI, co-leader of Sidley’s Residential Mortgage-Backed Securities (RMBS) team, focuses his practice on a broad range of structured finance and securitization transactions, with a primary focus on the representation of issuers, sponsors, sellers, servicers, and underwriters in RMBS transactions and structured vehicles, including RMBS backed by prime jumbo qualified mortgage loans (QMs), non-qualified mortgage loans (non-QMs), investment property and other business purpose mortgage loans, and reperforming, nonperforming, and second lien mortgage loans, as well as REMIC resecuritization transactions. In addition, David advises investment funds, insurance companies, and other financial institutions in whole loan sales and acquisitions, and in forming residential mortgage acquisition platforms. He has represented underwriters and investors in the securitization of shared appreciation home equity investments (HEIs). David also represents Australian banks in connection with cross-border Australian RMBS and covered bond offerings.
David regularly advises clients on compliance with respect to new and proposed legislative and regulatory changes affecting asset-backed securitization.
