Sidley represented Bermuda-based Athene Holding Ltd. in its $1.24 billion initial public offering (IPO) of Class A common shares, which were listed on the New York Stock Exchange under the symbol “ATH.” Athene is a leading retirement services and life insurance holding company that is sponsored by Apollo Global Management, LLC, a leading alternative investment manager. The IPO was the second largest in the U.S. and among the top 10 largest worldwide in 2016, and an example of a rare insurance company IPO. The proceeds of the transaction went entirely to the selling shareholders and Athene did not issue additional shares or receive proceeds. Sidley also represented Athene in its establishment by Apollo and members of Athene’s management in 2009.
