John M. O'Hare
John regularly represents publicly held companies, including Ingredion, DaVita Healthcare Partners and Morningstar, and provides counsel in connection with a wide range of corporate governance and SEC reporting and disclosure matters. He has been involved in numerous acquisition and divestiture transactions and corporate reorganizations, with particular focus in the healthcare industry. Representative engagements include (i) numerous divestitures and acquisitions by Baxter International, including the spin-offs of Allegiance Healthcare and Edwards Lifesciences, (ii) Ingredion's (formerly Corn Products International) acquisition of National Starch, (iii) Takeda Pharmaceutical's acquisition of URL Pharma, (iv) acquisitions and joint ventures in Korea, Mexico, Argentina, Thailand, Singapore, Malaysia, India, Guatemala, and El Salvador. John has also has extensive experience in a wide variety of debt and equity securities offerings.
John was managing partner of the firm’s Singapore office and has provided counsel in many international transactions, including corporate and tax matters, general commercial transactions, acquisitions, joint ventures and securities offerings. He played a key role in establishing the linkup between the Chicago Mercantile Exchange and the Singapore International Monetary Exchange and served as international coordinating counsel for the underwriters in connection with the initial public offering of Singapore Airlines.
John is Co-Director of the firm’s annual “Corporate College,” a firm-wide training program for all transactional associates. He has been a guest lecturer on various topics at Northwestern University Law School.
John was selected as the winner of the International Law Office Client Choice Awards 2013 in the Mergers and Acquisitions category in Illinois.
