Our lawyers are familiar with conducting business transactions involving entities in the Philippines, and several of our lawyers initially qualified and practiced in the Philippines. In addition, several of our lawyers are fluent in Tagalog, the national language of the Philippines.
We have worked on matters involving the Philippines across a wide range of practice areas, including capital markets, mergers and acquisitions, corporate finance, investment funds transactions and dispute resolution.
Most recently, Sidley represented GT Capital Holdings, Inc., a leading Philippine conglomerate, in its US$503 million initial public offering, one of the largest IPOs ever in the Philippines. The firm also represented Petron Corporation and San Miguel Corporation in connection with the financing of their US$577.3 million acquisition of ExxonMobil’s downstream oil business in Malaysia. We also represented Robinsons Land Corporation in its Php13.6 billion stock rights offering of common shares listed with the Philippine Stock Exchange, which was one of the largest transactions of its kind on the Philippine Stock Exchange.
We are also actively involved in establishing dedicated Philippine-focused private equity investment funds and other alternative investment fund arrangements. In circumstances where local law advice is required, we work with leading domestic counsel, many of whom are leaders in their field.
