Financial Institutions Business Transactions


Sidley advises financial institution clients on the structuring of transactions to comply with U.S. federal, state and non-U.S. financial institution laws. We represent financial institutions and their holding companies in depository institution merger and acquisition transactions, as well as in mergers and acquisitions of mortgage banking and other finance companies, and trust companies, investment advisers and other money managers. We also assist clients in the purchase and sale of all types of assets, including mortgages, automobile, student loan and credit card receivables, mortgage servicing rights and data processing facilities. For example, we have represented retailers and financial institutions in many of the industry’s leading credit card portfolio transfers and on-going credit card program agreements. We also represent clients in the structuring of failed bank investments and the purchase of assets from the FDIC. Clients also rely on our broad base of experience to help them structure and negotiate strategic alliances and outsourcing arrangements, including agent bank arrangements, and the entire panoply of operational agreements necessary to support critical functions and key business initiatives, such data processing, cash management and product brokerage or distribution agreements.

Our lawyers also have represented issuers, underwriters and institutional purchasers in connection with the public offering and private placement of equity and debt securities by financial institutions and their holding companies, finance companies and insurance companies and in the securitization of financial assets. We have advised U.S. and non-U.S. banking organizations in connection with potential joint ventures with, and non-control investments in, companies engaged in banking and non-banking activities as well as structuring investments by non-banking entities in banking organizations. We have also assisted in restructuring bank debt and streamlining bank operations.
