ROBYN L. HELMLINGER practices in the area of public finance, with a particular focus on the issuance of tax-exempt securities for nonprofit health care entities, nonprofit cultural institutions and public school districts. She has been with the firm in the San Francisco office since 1999.
Ms. Helmlinger’s practice includes the representation of issuers, borrowers and underwriters in tax-exempt securities transactions in California and nationwide. Of particular note, she serves as bond counsel to the second largest public school district in the United States, and to one of the largest nonprofit health care systems in the United States as measured by annual revenue. She also regularly represents major investment banks in connection with transactions for a variety of nonprofit organizations, including multi-state health systems, stand-alone hospitals, pediatric health care facilities, museums and other cultural institutions. As a result, she has considerable experience with respect to a variety of financing products. In addition to health care, other nonprofit and school district financings, her transaction experience encompasses a wide variety of the public finance market, including lease revenue, project revenue, higher education, assessment and special tax, industrial development and tax increment bonds. In addition to transactions involving the issuance of tax-exempt securities, recent engagements have included representation of various parties in connection with derivative products, the amendment of legal and bond documents (both requiring and not requiring the consent of bondholders), synthetic lease financings, the tax analysis of bond redemption requirements in connection with changes in use of facilities, mergers among nonprofit corporate entities and acquisitions of facilities, as well as nonprofit corporate entities. Ms. Helmlinger often speaks at the National Association of Bond Lawyers annual conference.
