Our Insurance practice offers extensive experience in a wide range of domestic and international insurance and reinsurance transactions, as well as related regulatory matters. Our experience includes the handling of traditional corporate and financing transactions for the insurance industry, such as mergers, acquisitions, divestitures, joint ventures, corporate reorganizations (including demutualizations and mutual holding company conversions), formation and capitalization of new insurance companies, public and private debt and equity financings and complex insurance company investment transactions. In addition, our lawyers have been at the forefront in structuring and handling many of the most novel and innovative transactions being conducted in the industry today, such as redundant life reserve (XXX and AXXX) and embedded value securitizations; catastrophe and catastrophic motility-linked bonds and derivatives, sidecars and other forms of risk securitization/finance; and the securitization of various insurance products, including funding agreements and life and annuity contracts.

Part VII Transfers Pursuant to the UK Financial Services and Markets Act 2000 Sidley Austin LLP, London, is able to provide legal advice (including advice regarding transfers involving insurance business domiciled outside the UK), in relation to insurance business transfer schemes under Part VII of the UK Financial Services and Markets Act 2000. Such transfers enable direct insurers and reinsurers alike to transfer all or part of their books of business to another approved insurer.
Members of the team have been involved in, for example, new approaches for extending the use of Part VII transfers and in successfully dealing with opposed transfers.
