JOHN A. MACKINNON, a partner in the New York office since 1983, practices securities law with an emphasis on investment management clients.

Mr. MacKinnon has worked on matters involving numerous U.S. and offshore investment companies and has extensive knowledge concerning the registration and exemptive provisions of the Investment Company Act of 1940 and the Investment Advisers Act of 1940. He has represented major investment banks in numerous offerings by public and private funds and regularly advises non-U.S. investment advisers concerning U.S. securities laws. Mr. MacKinnon also represents the independent directors of a number of U.S. investment companies.

Mr. MacKinnon has also participated in the formation of additional investment vehicles and investment products. These include the following:

  • Business Development Companies (“BDC’s”)
    Mr. MacKinnon represented some of the first BDC’s to be formed after the adoption of legislation creating these vehicles and he has continued to represent BDC’s and their underwriters for over twenty years.
  • College Savings Programs (“529 Programs”)
    Mr. MacKinnon has represented both investment managers and program administrators for programs adopted by multiple states.
  • Employees’ Securities Companies
    Mr. MacKinnon has represented major financial institutions in connection with the formation of Employees’ Securities Companies under the Investment Company Act.

Mr. MacKinnon is co-head of the firm's Investment Funds, Advisers and Derivatives Group and is a member of the firm's Executive Committee.  He has been recognized by Chambers USA in National Investment Funds: Registered Funds.
