D&O Liability/Shareholder Derivative Litigation
We represent Boards of Directors, individual officers and directors, and companies in D&O liability claims and shareholder derivative litigation. We defend directors and officers both in class actions and shareholder derivative actions. These cases involve claims for breach of fiduciary duty, usurpation of corporation opportunities and other alleged wrongdoing. We also work closely with our securities practices in connection with securities fraud claims.
Shareholder Demands
We counsel companies and boards in responding to shareholder demands. Frequently, the response to such a demand involves the creation of a Special Litigation Committee. We have an active practice in representing such board committees and conducting appropriate investigations. Representative engagements include representing:

Shareholder Derivative Litigation
We also have an active shareholder derivative litigation practice. Our practice includes representing the nominal defendant corporation and/or the directors or officers named as defendants. We have been highly successful in defending such suits, and have recently secured dismissals of such claims on behalf of officers and directors of the following companies:
