Our Practice

Structured Finance and Securitization

Sidley’s Structured Finance and Securitization practice is one of the largest and most experienced in the world. Now numbering more than 260 worldwide, our securitization lawyers were there at the creation of the mortgage-backed securities market in the 1970s, the asset-backed and commercial paper conduit markets in the 1980s and the CMBS conduit market in the 1990s, and have been involved in virtually every other industry innovation. In a recent and characteristic confluence of global reach and structural innovation, our securitization and tax lawyers in London and New York acted for Washington Mutual in its first-of-its-kind (and EuroWeek’s 2006 Deal of the Year) U.S. law-governed European covered bond program. Our experience and capability are reflected in our rankings and recognitions. From 2003-2007, Thomson Financial ranked Sidley as the number one or number two issuer counsel by deal size for all U.S. debt, equity and equity-related offerings; and number two or number three underwriter counsel in the same category. For 2007, the firm was ranked as number two issuer counsel and number three underwriter counsel, by deal size for U.S. debt, equity and equity-related deals.
