Sidley has had a presence in Asia Pacific for over 30 years and is one of the few U.S. law firms to have maintained on-the-ground capabilities to serve clients in the region for more than three decades. Sidley established its first office in the Asia Pacific region in Singapore in 1982, and since then, has continued to build on and enhance its capabilities for regional and global clients. In February 2013, Sidley was one of only four firms to be granted a license to practice local law in Singapore under Singapore’s Qualifying Foreign Law Practice (QFLP) program.

With approximately 160 legal professionals resident in six offices—Beijing, Hong Kong, Shanghai, Singapore, Sydney and Tokyo—the firm represents banks and financial institutions, governments, and private and public companies, as well as multinationals and conglomerates in all sectors of commerce and industry. Such advocacy on behalf of clients has earned Sidley the reputation for being a leading law firm with recommended practices and recognized lawyers in many areas of law. The firm is also acknowledged for its sensitivity to cultural differences and extensive knowledge in the critical areas for international business.

Established in 2007, Sidley's Sydney office focuses on corporate finance and other corporate matters, including U.S. and cross-border capital raisings, cross-border mergers and acquisitions, private debt and equity transactions and finance, structured finance and project finance transactions for Australian, New Zealand and U.S. companies and investment banks.

The team's corporate finance work in Sydney has encompassed U.S. initial public offerings; public offers of debt and equity securities for seasoned issuers; private placements of debt, equity and hybrid securities, including Rule 144A and Regulation S offerings and “traditional” Section 4(2) debt private placements; and venture capital investments and exits. Our lawyers have also acted on a number of complex structured finance and cross-border financing transactions. In addition, they have acted for issuers in connection with their ongoing reporting obligations under the U.S. securities laws and Australian and New Zealand companies in establishing both listed and unlisted American Depositary Receipt programs.

The firm's mergers and acquisitions work has primarily focused on cross-border tender offers and exchange offers, "going private" transactions, mergers and stock and asset purchases.

In Sydney, our lawyers practice only U.S. law. However, we work closely with the leading local Australian and New Zealand counsel on a broad range of transactions. In addition, the lawyers in the Sydney office assist U.S. and other international clients in managing transactions in Australia and New Zealand even where the transactions are not governed by U.S. law.
