Tax


Sidley provides federal and state tax advice on a variety of complex transactions and financing techniques, as well as thoughtful and experienced representation in significant federal and state tax controversies. Sidley’s Tax practice includes more than 60 tax lawyers, including 32 partners, providing U.S., UK and German tax advice. Our clients include Fortune 100 companies and many large privately-held companies. We offer federal, state and international tax services in a wide range of areas, including mergers and acquisitions, spinoffs, financial transactions, securitization and structured finance, derivatives, private equity funds, hedge funds, joint ventures, mortgage and asset-backed securities, reorganizations, real estate investment trusts and regulated investment companies, cross-border transactions, affordable housing, tax controversies, tax planning, legislative and regulatory developments, state and local income tax, sales and property taxes and unclaimed property.

Experience

  • Represented Equity Office Properties Trust in its $39 billion acquisition by The Blackstone Group, closing, at the time, the largest leveraged buyout transaction in history. This deal was named Real Estate Deal of the Year for 2006 by Institutional Dealers’ Digest.
  • Represented Washington Mutual Bank in establishing the first covered bond program under U.S. law — US$5 billion initial offering; US$20 billion program size. Sidley worked with WaMu to devise a new covered bond structure under existing principles of banking, insolvency and related areas of U.S. law.
  • Represented the underwriters in Fortress Investment Group's $634.3 million initial public offering. Fortress is the first global alternative asset manager listed on the New York Stock Exchange.
  • Represented DB Commodity Services LLC in connection with the registration of $2 billion in units in PowerShares DB Commodity Index Tracking Fund, the first commodity pool to be listed for trading on a U.S. securities exchange (AMEX). The firm subsequently represented DB Commodity Services in connection with the launch of an additional ten exchange-traded commodity futures funds (under the "PowerShares DB" trade name) which track seven commodity sector indexes, a leveraged currency index designed to provide an approximation of the “carry trade” and bullish and bearish U.S. dollar currency indexes.
  • Represented numerous investment banks, a major motion picture studio and investors with respect to the tax aspects of numerous large film securitization transactions.
  • Represented First Data Corporation on tax issues in a highly-structured spin-off of The Western Union Company.
  • Represented Alberto-Culver Company and Marshall & Ilsley Corporation with respect to the tax aspects of sponsored spin-offs.
  • Represented Owens Corning on tax aspects of its emergence from a Chapter 11 bankruptcy proceeding.
  • Represented General Electric Company, through its GE Healthcare unit, on tax aspects of its $8.13 billion acquisition of the diagnostics and point-of-care businesses of Abbott Laboratories.
  • Represented Citadel Investment Group, L.L.C. with respect to a medium-term note offering by its hedge funds.
  • Represented West Corporation on tax issues in an acquisition by a private investor group.
  • Represented Saks Incorporated on tax issues in its sale of the Northern Department Store Group to The Bon-Ton Stores, Inc.
