The American Lawyer (AmLaw) “2019 Dealmaker of the Year” for Elaine Wynn Proxy Contest.
Sidley was recognized for counseling Elaine Wynn in her proxy contest against Wynn Resorts Ltd. Elaine launched a campaign against the Wynn Resorts board of directors following sexual misconduct allegations against her ex-husband and the company’s former CEO. Specifically recognizing Kai Haakon E. Liekefett as the “Dealmaker of the Year,” Kai and the Sidley team, led by Beth E. Berg, Thomas A. Cole and James M. Cole, counseled Elaine in her pursuit of a proxy contest aimed at holding a referendum on the board whom she had considered too passive when complaints of sexual misconduct were first raised. AmLaw praised the Sidley team for their “creative solutions” in mounting the battle on her behalf, convincing the U.S. Securities and Exchange Commission to waive its minimum review period of 10 days. The campaign resulted in the resignation of two directors and the installation of a new chairman of the board proposed by Elaine.
