International Financial Law Review (IFLR) recognized Sidley for its work on two Deal of the Year winners at the 2020 IFLR Americas Awards, which annually celebrate legally innovative cross border transactions. The deals honored were “Private Equity Deal of the Year – Brookfield Infrastructure and GIC/Genesee & Wyoming” and “Debt and Equity-linked Deal of the Year — Morgan Stanley SOFR-linked notes.”
Sidley represented GIC in a complex US$8.4 billion leveraged buyout of Genesee & Wyoming Inc. involving heavy regulatory oversight from government authorities in multiple jurisdictions. The Sidley team was led by Asi Kirmayer and included partners Laura M. Barzilai, Ram Burshtine, James Mendenhall and Ken Daly.
Sidley was also recognized for having represented the underwriters, led by Morgan Stanley & Co. LLC, in connection with Morgan Stanley’s global offering of SOFR-linked notes in June 2019, the first SEC-registered offering of notes based on the Secured Overnight Financing Rate (SOFR) by a U.S. global systemically important bank (U.S. G-SIB). The transaction was recognized for having developed and introduced a new structure that may set a market precedent.
