A team of Sidley lawyers advised salesforce.com, inc. (“Salesforce”) on its acquisition of Vlocity, Inc. (“Vlocity”). Under the terms of the agreement, Salesforce will acquire Vlocity for approximately US$1.33 billion, net of the value of shares currently owned by Salesforce or its affiliates, subject to customary purchase price adjustments.
Built natively on the Salesforce platform, Vlocity is a leading provider of industry-specific cloud and mobile software for the world’s top communications, media and entertainment, energy, utilities, insurance, health and government organizations.
