Sidley represented Kyuden International Corporation and West Japan Engineering Consultants, Inc., members of the Kyuden Group, in connection with the execution of a share purchase agreement for the acquisition of Thermochem, Inc. and PT Thermochem Indonesia (collectively, “Thermochem”).
Thermochem is a consulting company that provides a comprehensive range of testing services, consulting engineering and geoscience services, and specialized instrumentation and equipment products to the geothermal energy industry. Thermochem has also made significant technical contributions to the development and operation of the Sarulla geothermal independent power producer (IPP) project in Indonesia, one of the largest geothermal IPP projects in the world (total output of approximately 330 MW). Kyushu Electric Power Co., Inc., the parent company of the Kyuden Group, is one of the sponsors of the Sarulla project. The acquisition of Thermochem will expand the Kyuden Group’s presence and role in the global geothermal power generation sector.
