Sidley is representing publicly traded Kemper Corporation in its acquisition of American Access Casualty Company, its related captive insurance agency, Newins Insurance Agency Holdings, LLC, and its subsidiaries (collectively AAC) for US$370 million in cash.
The transaction accelerates Kemper’s specialty auto strategy with several enhancements, including an expanded distribution network, geographic diversification, and increased specialty auto scale and growth opportunities.
AAC provides specialty private passenger auto insurance in Arizona, Illinois, Indiana, Nevada, and Texas, and focuses on large, urban areas.
Global insurance M&A head Sean Keyvan is leading the Sidley team, which includes Mike Goldman, John White, JD Heinz, and other insurance group lawyers, as well as members of the firm’s tax, employee benefits, intellectual property, real estate, antitrust, labor and employment, privacy and cybersecurity, and environmental groups.
