Biography

PHILIP CHARTERIS advises sponsors, financial institutions, debt funds, and other market participants across the capital stack on the full range of domestic and cross-border real estate financing transactions. His practice spans acquisition, development, and investment financings, as well as complex structured finance, back leverage, restructuring, and capital solutions across a broad range of real estate asset classes.

His experience includes advising on:

  • UK and cross-border investment and development financings of data centres, hotels, student accommodation, stadiums, offices, supermarkets and residential, logistics, aged care, cold-storage, and self-storage assets;
  • loan-on-loan, repo, and other back leverage transactions;
  • preferred equity and holdco financing structures;
  • senior/mezzanine and A/B arrangements;
  • restructurings and distressed debt acquisitions; and
  • asset and mortgage backed securities.

Philip spent nine months on second at Starwood Capital Group in 2023.

Representative Matters

Recent experience includes advising:

  • The underwriters on a borrower’s inaugural £532 million issuance of securitized term notes against leases of two data centers located in Slough, the United Kingdom.*
  • A hyperscale data center provider in respect of its circa €700 million issuance of securitized term notes secured against two data center assets located in the Netherlands and occupied by a hyperscaler tenant.*
  • A private equity client on the refinancing of a premier European football club. A U.S. investment bank in relation to €350 million senior/mezzanine loans to a JV of a U.S. private equity fund and European operating partner in relation to the development of a marquee data center project in Portugal.*
  • A joint venture between two private equity funds in relation to a loan to finance the €422 million acquisition of a German SFR portfolio.*
  • An international investment bank on its financing of the acquisition of a portfolio of cold storage assets located in the Netherlands, Northern Ireland, and Ireland.*
  • A U.S. investment bank in relation to a mortgage loan to EQT Exeter in relation to the acquisition of a warehouse in Germany.*
  • A U.S. investment bank in relation to a repurchase transaction with PGIM secured on European mortgage loans.*
  • A major U.S. hotels group in relation to a mezzanine loan to finance the acquisition of a hotel in central London.*
  • A joint venture between a U.S. real estate private equity fund and European operating partner in respect of a loan to finance the acquisition of a UK healthcare group.*
  • A private equity fund on its financing of its acquisition of non-performing loan portfolios in Spain.*
  • A private equity fund on its acquisition financing of a healthcare portfolio located in Germany.*
  • A private credit fund as lender on a circa €160 million and £15 million senior facility and Italian bond structure with back leverage for the acquisition of a hotel portfolio across England, Spain, France, and Italy.*
  • A private credit fund as lender on a £535 million senior facility for a build to rent development, including affordable housing blocks, in London which was partially funded by a loan-on-loan and co-investment structure.*
  • The syndicate of lenders on a circa €1.5 billion senior facility for the acquisition of a portfolio of logistics assets located across Belgium, France, Germany, Ireland, Italy, the Netherlands, Poland, and Spain by a sovereign wealth fund.*
  • The syndicate of lenders on a circa €400 million and £120 million senior facility for the acquisition of a portfolio of logistics assets located across England, France, Germany, the Netherlands, Poland, and Scotland by a sovereign wealth fund.*
  • The lender syndicates on various build to sell and build to rent residential developments and office developments at Canary Wharf.*
  • A global investment management organization on the restructuring of its mezzanine facility provided to the Intu group in respect of the Trafford Shopping Centre in Manchester.*
  • Two U.S. investment banks in relation to the restructuring of their senior and mezzanine debt made to a private equity group for a shopping center in Scotland.*
