BRIAN C. FLAVELL is the local practice group head of the Los Angeles/Century City real estate group. Mr. Flavell’s practice involves the representation of capital markets, banks, REITs, opportunity funds and other real estate lenders and investors in connection with financing, purchase and sale, leasing, development and foreclosure and workout transactions.
Major engagements have included the following:
- Representation of capital markets institutions, REITs, banks, opportunity funds and other traditional and non-traditional commercial lenders in the origination of mortgage and mezzanine secured loans involving hotel, office, retail, industrial and multifamily properties, which exceeded $10 billion in the aggregate over the past two years, including:
- Represented CMBS lender in origination and securitization of $1.43 billion financing of Class A office building in Manhattan
- Represented portfolio lender in origination and syndication of $386 million acquisition loan on a 23-property multifamily portfolio in northern California
- Represented portfolio lender in origination and syndication of $280 million refinance of a 1.1 million square foot office building in Atlanta
- Represented REIT in origination of a $270 million mortgage and mezzanine acquisition financing secured by an 850-unit multifamily portfolio in Los Angeles
- Represented portfolio lender in origination and syndication of two separate acquisition loans secured by major Los Angeles film and television studios, with an aggregate loan amount of $650 million
- Represented CMBS lender in origination and securitization of $210 million acquisition financing of a 33-property industrial portfolio in the Midwest
- Represented lender syndicate in the origination and securitization of a $1.2 billion mortgage and mezzanine financing secured by one of the largest hotel and casino resorts in the Caribbean
- Represented portfolio lender in origination and refinancing of a $95 million construction loan to redevelop a downtown Los Angeles office building into a high-end hotel property utilizing federal historic tax credits
- Representation of opportunity funds and REITs in the acquisition, financing, foreclosure, redevelopment and purchase and sale of senior living, skilled nursing, medial office and other healthcare related properties, including:
- Represented major healthcare REIT in $1.8 billion disposition of a 49-property senior living facility portfolio located in the Northeast
- Represented opportunity fund for the acquisition and foreclosure of mortgage and mezzanine loans and the workout, restructuring and refinancing of a $400 million portfolio of 32 skilled nursing facilities
- Represented major healthcare REIT in the sale and seller development financing of a 300-unit independent and assisted living facility in Florida
- Representation of other real estate investors in the acquisition, sale and leasing of hotel, office, retail and multifamily properties
- Representation of major bank’s trust department regarding leasing and disposition of commercial trust properties
Prior to joining the firm, Mr. Flavell was a law clerk to the Honorable Stephen V. Wilson, United States District Court for the Central District of California.
