JIM KUNICK has over 25 years of experience representing both customers and providers over a broad array of complex commercial, aviation and airlines, intellectual property, telecommunications and technology transactions. Jim is counsel and a member of Sidley’s Technology and Life Sciences Transactions practice. With a background in Industrial and Systems Engineering, Jim is also a registered patent attorney.
A software consultant prior to attending law school, Jim advises clients on technology licensing transactions, IT and business process outsourcing (BPO) transactions including third party administrator and revenue cycle management agreements, SaaS, hosting and related cloud services agreements, telecom and network services agreements, data analytics transactions, data center colocation agreements, open source issues and the intellectual property-related aspects of mergers, acquisitions, and other commercial relationships, including development, distribution, manufacturing, marketing, procurement and supply agreements.

Immediately prior to joining Sidley, Jim served as Assistant General Counsel of Capgemini North America, a global technology service provider, where he was responsible for leading the review and negotiations of complex transactions involving the company’s provision of applications maintenance and development (ADM) and BPO services, software implementation and systems integration services, corporate acquisitions and numerous ancillary agreements, including the following:
- A multi-year, managed services agreement with a global food service retailer for digital and technology innovation across all locations and countries, and a related purchase agreement for acquisition of the retailer’s captive outsourced IT services organization.
- A global managed services agreement with one of the world's leading organizations of independent audit, tax and advisory firms for cloud-based ADM services, and security monitoring services for member firms.
Notable transactions on which Jim has advised include:
- Serving as US counsel to a European-based IT service provider in the global hospitality industry in its negotiation of an IT outsourcing agreement with an international airline.
- Serving as ad-hoc general counsel for a leading eCommerce solution provider in transactions for its enterprise eCommerce application developed natively on the Salesforce Platform, and professional services agreements for implementation and support.
- Leading the negotiations of data center colocation and cloud services agreements with global travel technology companies, and call center outsourcing agreements, for an international hotel franchisor.
- Jim is a member of the state bars of Illinois and Florida, and the Licensing Executives Society.
- Jim is a co-founder of Community Threads, now a part of the Home of Sparrow, a volunteer driven, charitable organization that operates a number of transitional shelters, affordable housing and nonprofit thrift stores serving the Chicagoland community. Home of the Sparrow’s mission is to provide Hope, Opportunity and Support that empowers women and children as they journey from homelessness to self-sufficiency. This organization provides high quality, low cost goods and housing in an environment that conveys respect to our customers, donors and volunteers, in order to run programs and make grants to a network of charities providing support for problems related to poverty.
