SUSAN LEWIS practices securities and corporate law, as a member of the investment funds practice group, principally in connection with private equity, venture capital and other alternative investment funds and their investments.
Susan has worked on a wide range of corporate and securities transactions, both in the United States and in the international marketplace. Her focus includes the structuring of pooled investment vehicles in partnership, limited liability company, joint venture and trust forms and direct ownership vehicles for equity participants, as well as ongoing representations of these vehicles, their investment advisers and/or investor participants in connection with their operation, governance and investments.
She regularly advises corporate, tax-exempt, public and private pension fund and sovereign institutional investors globally in connection with their investment transactions, with a focus on investments in alternative investment vehicles, co-investments, direct investments, secondary transactions and restructurings. She also represents issuers, investment advisers and placement agents. Susan’s experience includes a wide variety of domestic and of shore public and private investment funds, including private equity funds, venture capital funds, real estate funds, distressed debt funds, mezzanine funds, hedge funds, arbitrage funds, infrastructure funds, funds of funds, business development companies and employees’ securities companies.
Susan has participated in panel discussions for the American Bar Association and the International Bar Association, the Practising Law Institute and The New York Law Journal Seminar Series addressing such topics as private investment fund structures and terms, and she writes on the same subjects.
She has also been recognized by several industry publications, including Chambers Global and Chambers USA, as a Band 1 lawyer in the area of investment funds, The Legal 500 US, in the area of private equity funds, and Who’s Who Legal, in the area of private funds.
