KAYLEIGH MCNELIS is a senior managing associate in Sidley’s Houston office where she advises clients on complex corporate and transactional matters, with a primary focus on mergers, acquisitions, dispositions and private equity and capital markets transactions. Kayleigh represents public and private companies, including master limited partnerships, strategic public issuers, private equity sponsors and portfolio companies in connection with acquisitions, investments, divestitures, strategic relationships, joint ventures, registered primary, secondary and follow-on offerings of public securities and various other types of transactions. She also provides general advice to clients with respect to corporate governance, securities laws, and compliance and restructuring matters. Kayleigh has represented clients in a variety of industries, including energy (upstream, midstream, power generation, and alternative energy), technology, digital infrastructure, transportation, and real estate.
In addition to her transactional practice, Kayleigh has provided pro bono services to clients with regard to various matters, including a veteran’s application for combat-related special compensation. Kayleigh has also advised start-ups and emerging ventures through Sidley’s Emerging Enterprises Pro Bono Program, including an equity-for-real estate transaction for a start-up company based in St. Lucia.
Kayleigh earned her J.D. from The University of Texas School of Law. She graduated from the University of Texas at Austin with a B.S. in political communication and a B.A. in sociology and was inducted into Phi Beta Kappa.
