BEN ROSEMERGY is a corporate partner in Sidley’s Chicago office and a co-chair of the firm’s global Employee Benefits and Executive Compensation practice.
Ben’s practice is focused on advising clients in all aspects of corporate transactions related to executive compensation and employee benefits. He regularly represents private equity funds and public and private companies in all types of transactions, including stock and asset acquisitions and divestitures, mergers, add-on and carve-out transactions, bankruptcy-related transactions, forming and terminating joint ventures, spin-offs and large equity investments. His experience includes negotiating transaction documents (e.g., merger and purchase agreements) and financing agreements, analyzing the treatment of equity compensation and other executive arrangements, and advising on the treatment of broad-based employee benefit plans and assisting with transition issues.
In addition, Ben regularly advises funds, companies, executives and management teams on executive compensation matters. He represents companies in establishing equity-based compensation arrangements (e.g., stock options, profits interests, restricted stock, restricted stock units, stock appreciation rights and phantom equity), other incentive compensation arrangements (including transaction bonus arrangements) and nonqualified deferred compensation arrangements and drafts and negotiates employment, severance, retention and change in control agreements. He has significant experience with the various tax laws governing executive compensation arrangements, including Sections 409A and 280G of the Internal Revenue Code.
