Dan has recently acted for:

• Huma Therapeutics, on:
  • its acquisition of iPLATO Healthcare, whose "myGP" app is one of the most downloaded digital health apps in the United Kingdom; and
  • its acquisition of AstraZeneca's chronic disease management digital health platform, AMAZE™️ and related equity and commercial arrangements, including the entry by Huma and AstraZeneca into a strategic collaboration agreement; and
  • other commercial arrangements, including strategic collaboration agreements and software development and licensing agreements.
• Westfield Insurance on its acquisition of the Lloyd’s of London operations of Argo Group International Holdings Ltd, which included the acquisition of Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200, which it manages.
• Membership Collective Group Inc., a London-based membership and hospitality company (and parent company of Soho House and related businesses), in connection with its initial public offering of US$420 million. MCG sold 30 million shares of its common stock at US$14.00 per share.
• Great Hill Partners in connection with its investment in BigChange, the leading mobile workforce management technology company for the service and transport sectors.
• KKR on:
  • its initial investment and follow-on investment in KnowBe4, a security awareness training and simulated phishing platform provider, with participation from TenEleven Ventures; and
  • the creation of a pan-European logistics development platform.
• F. Hoffmann-La Roche on:
  • its acquisition of Inflazome, a biotech company leading the development of orally available, small molecule NLRP3 inhibitors to address clinical unmet needs in inflammatory diseases by targeting inflammasomes; and
  • its acquisition of Tusk Therapeutics, a UK-based pre-clinical immuno-oncology company which has developed an antibody with a novel mode of action aimed at depleting regulatory T-cells.
• Goldman Sachs Private Capital on its investment in DocPlanner Group, a healthcare booking platform provider with operations in 15 countries.

• Five Arrows Principal Investments in its sale of and co-investment in Datix, a patient safety and risk management software company.
• Mid Europa Partners in its acquisition of a majority stake in MediGroup, a Serbian private healthcare provider.
• Archer Daniels Midland on its acquisition of Probiotics International Limited, a UK-based provider of probiotic supplements for human, pet, and production-animal use.
• ACPS Automotive, a technology and market leader in towbars/hitches for cars, SUVs, and vans, on its financial restructuring.
• Cincinnati Financial Corporation on its acquisition of MSP Underwriting at Lloyd’s from Munich Re.
• Tai United Holdings Limited, a Chinese company, on its £112 million sale of a marquee commercial property in West London.
• The Bank of Cyprus Public Company Limited on its admission to the official list of the London Stock Exchange.
• Welltower Inc, a U.S. healthcare REIT, on their £153 million acquisition of Gracewell Care Homes and associated development arrangements.

Dan is a member of Sidley's London office's pro bono committee and is involved in a number of its initiatives, including the Emerging Enterprises Pro Bono Program, which provides free legal support to eligible small and medium-sized for-profit enterprises and market-focused NGOs and nonprofits that have a clear social impact in developing countries across Africa, Asia, Central and South America, and the Caribbean.

As part of the Emerging Enterprises Pro Bono Program, Dan advised Inspirafarms, the leading provider of on- and off-grid cold storage technology solutions in East and Southern Africa, on its Series B Funding Round.

Dan was awarded the 2018 Sidley London Prize for Pro Bono Services.
