MARC WASSERMANN’s practice focuses on work-outs, restructurings and liquidations involving various types of securitizations, structured finance transactions, syndicated leveraged finance facilities and other credit facilities in the context of financial distress, insolvency and intercreditor disputes, as well as acquisitions and dispositions of portfolios of such transactions and accessing alternative forms of finance and liquidity. He represents investors, debtors, arrangers, financial advisors, underwriters and credit enhancers in a wide variety of asset-backed, structured finance, corporate and infrastructure transactions, the restructuring or refinancing of those transactions, and disputes arising out of those transactions.
Some recent engagements have included restructuring advice in connection with:
- distressed collateralized debt obligations (CDOs)
- structured investment vehicles (SIVs)
- collateralized fund obligations (CFOs)
- non-conforming residential mortgage-backed securities (RMBS)
- commercial mortgage-backed securities (CMBS)
- other asset-backed securities (ABS)
- portfolios of non-performing loans (NPLs)
These matters frequently involve the resolution of intercreditor issues and collaboration with the firm’s litigation and financial regulation practice areas.
Marc’s practice in the area of structured finance has involved the following types of transactions and asset classes: CDOs, CLOs, CFOs, RMBS, CMBS, SIVs, ABCP conduits, emerging market future flow securitizations (for commodity exports, airline ticket receivables, credit card transfers and other electronic remittances), trade receivables securitizations and factoring and securitizations of equipment lease receivables, automobile loans, home equity loans and time share contracts.
Marc is recognized in The Legal 500 UK 2017 for Corporate Restructuring and Insolvency, where he is noted for his “‘deep understanding of the market.’” He is also recognized as a Leading Lawyer in IFLR1000 2017 for Structured Finance and Securitisation and Financial Restructuring, in which sources describe him as having “broad legal knowledge and a lot of experience,” they also say “he is easy to communicate with and good at keeping in touch.” Marc is named in Best Lawyers 2022 for Insolvency & Restructuring Law.
