Sidley represented New Residential Investment Corporation in the execution of a “stalking-horse” purchase agreement for the acquisition of substantially all of the forward mortgage-related assets of Ditech Holding Corporation. Acquisition of these assets, in addition to those already operated through NewRez and Shellpoint Mortgage Servicing, would further New Residential’s position as an industry leading originator and servicer. The final purchase price will be determined at closing of the transaction.
The Sidley team was led by partners Bill Howell (Dallas), Aaron J. Rigby (Dallas), Jessica C. K. Boelter (New York) and Mark D. Werner (Chicago). Team members included partners Benjamin A. Rosemergy (Chicago), Benjamin Nagin (New York), Christopher Egleson (San Diego), James Huizinga (Washington, D.C.); counsels Tara M. Lancaster (Dallas) and Charles M. Persons (Dallas); and associates Christian E. Pilhofer (Chicago), Matthew E. Linder (Chicago) and Jack Zeringue (Dallas).
