TOM KOPKO is an associate in Sidley’s Chicago office. As a member of the firm’s Investment Funds and Private Equity practice groups, Tom focuses on legal, structural, economic and strategic issues of special concern to private investment fund managers, sponsors and their principals. He advises clients in securities, derivatives and futures-related corporate and regulatory matters arising in connection with the formation and operation of U.S. and offshore private equity funds, hedge funds, venture capital funds, hybrid funds, energy funds, cryptocurrency funds, special opportunity funds, real estate funds, opportunity zone funds, single relationship/investor funds, feeder-fund and managed account platforms, funds of funds and family offices. He often represents clients in negotiations of portfolio company investments, co-investments, side pockets, joint ventures, leveraged products, credit facilities, selling agreements and other strategic transactions, such as “seed” capital investments, “anchor” capital investments and acquisitions, dispositions and reorganizations of fund management companies. Tom also regularly advises on compliance issues related to the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act, the Investment Company Act, the Commodity Exchange Act and the rules, regulations and guidance of the SEC and the CFTC.
Tom is a member of Sidley’s Investment Funds practice team that was named “Law Firm of the Year” for Private Funds/Hedge Funds Law by the U.S. News – Best Lawyers “Best Law Firms” survey published in 2014, 2016 and 2018 and received a first-tier national ranking by this same publication in 2020. Sidley has also received “Band 1” global and national rankings for Investment Funds: Hedge Funds in the 2019 and 2020 editions of Chambers Global and was recognized as the “Best North American Law Firm” in the 2011 and 2013 Hedgeweek Awards and as “Investment Funds Team of the Year for the U.S.” by Chambers and Partners in 2008 and 2013. Tom received his B.A. from the University of Notre Dame, where he was a four-year member of the varsity men’s basketball team and recipient of the Francis Patrick O’Connor Award, one of the University’s three major athletic awards. Tom received his J.D. from Cornell Law School, where he was an editor of the Cornell International Law Journal and recipient of the Peter Belfer Memorial Prize, which is awarded annually to the student who demonstrates the greatest proficiency and insight in federal securities regulation and related laws.
Prior to law school, Tom spent two years working for a small business consulting firm based out of the United States Virgin Islands. Prior to joining Sidley, Tom was a Public Interest Law Initiative (PILI) graduate fellow at the Sargent Shriver National Center on Poverty Law.
