The Deal Awards recognized Sempra Energy’s $9.45 billion acquisition of Oncor Electric Delivery Company as “Deal of the Year,” praising it as the “most exemplary M&A transaction of the year” including public, private and sponsor-led transactions. Sidley was also shortlisted for “Law Firm of the Year” in the Entertainment & Media Dealmakers category; and for its representation of TerraForm Power, Inc. in its sale to Brookfield Asset Management Inc., which was shortlisted as “Private Equity Deal of the Year.” The Deal Awards recognize the leading lawyers, bankers, service providers and investors shaping the global M&A landscape.
In the Sempra Energy deal Sidley represented Morgan Stanley, RBC Capital and the other underwriters in connection with the $9.6 billion acquisition financing by San Diego-based energy holding company Sempra Energy. The deal set a number of records including largest power and utility equity acquisition financing, largest base forward sale transaction and fifth largest equity acquisition financing in U.S. capital markets history.
