Sidley is representing Constant Contact, a portfolio company of Clearlake Capital Group, L.P. and Siris Capital, in the proposed acquisition of SharpSpring, Inc. (NASDAQ: SHSP), a global provider of marketing technologies. Under the terms of the definitive agreement between the parties, Constant Contact will acquire all the outstanding common stock of SharpSpring for US$17.10 per share in an all-cash transaction. The transaction is expected to close in the third quarter of 2021, subject to customary closing conditions, including requisite approval of the transaction by SharpSpring stockholders.
