Biography
SHARON FLANAGAN is a member of the firm’s Management Committee and Executive Committee and has over 25 years of experience representing companies in a broad range of merger and acquisition transactions, securities offerings and corporate governance matters, with a particular focus on the life sciences/healthcare and technology industries. Sharon also serves as the San Francisco office managing partner, and is a leader of the firm’s Global Life Sciences practice. She was named to the Daily Journal’s 2021 “Top 100 Lawyers in California” list. She has been named an LMG Life Sciences “Life Sciences Star” in the Mergers & Acquisitions category (2018–2024). She was also selected by The Recorder as one of “10 Power Players” in California as lawyers who stand out as “trailblazers, mentors and advocates for women in tech.”
Sharon also advises a number of public companies on corporate governance, disclosure and other SEC compliance matters, as well as proxy advisory firm matters, stockholder proposals and corporate governance best practices.
Consistently recognized for her work on a number of significant transactions, Sharon was recognized by Chambers USA for Corporate/M&A (California: San Francisco, Silicon Valley, 2020–2025), Capital Markets: Debt & Equity: Western United States (Nationwide, 2019–2025), and Capital Markets: Debt & Equity (California, 2013–2025). She has also been recognized in the 2011 through 2022 editions of The Best Lawyers in America in the area of Corporate Law, as well as M&A Law and Corporate Compliance Law. In 2012, Sharon was named The Best Lawyers’ 2013 San Francisco Corporate Law “Lawyer of the Year.” She was also recommended in Healthcare: Life Sciences, Capital Markets and M&A in the 2013–2017 editions of Legal 500 U.S. In 2011, The American Lawyer named Sharon as one of “45 Under 45” – “the best of the best among young women lawyers in the Am Law 200.” She was named to the Daily Journal’s list of the “Top 25 Women Corporate and Transactional Lawyers” in California.

- Roche (ROG.S) in its purchase of Poseida Therapeutics (NSDQ: PSTX), a specialist in CART-T immune cell therapies for $1.5 billion in cash and contingent value rights
- Roche in its acquisition of Carmot Therapeutics Inc., a clinical-stage GLP-1 company, for an upfront payment of $2.7 billion and additional milestone payments of up to $400 million
- Genentech, Inc. in its sale of a biologics manufacturing facility to contract drug manufacturer, Lonza for $1.2 billion in cash
- ServiceTitan, Inc. a leading software provider for the trades, in its acquisition of Schedule Engine, a leading provider of online booking for home and commercial services
- ServiceTitan, Inc. in its acquisition of FieldRoutes, a cloud-based and mobile SaaS provider in the pest control and lawn care industry
- Flex Ltd., an American multinational manufacturing company domiciled in Singapore, and its Fremont, California-based solar technology subsidiary, Nextracker Inc.
