Our Employment and Labor lawyers regularly work with our transactional lawyers to provide a wide range of services in the corporate transactions context. For example, we draft and analyze appropriate provisions for the relevant transactional documents to address the various employment and labor law issues that each transaction presents, typically including employment and labor-related representations and warranties, as well as comprehensive provisions addressing the treatment and disposition of employees affected by the transaction and other employment-related matters. We also draft and review confidentiality agreements, employment agreements, restrictive covenant agreements, severance agreements and other ancillary contracts. In addition, we actively participate in the due diligence process to identify and evaluate legal risks that a transaction may pose from an employment and labor law perspective, particularly when a client contemplates that the transaction may result in a reduction-in-force or plant closing. When one or more parties to a transaction has a unionized workforce, we also provide a variety of counseling, negotiating, and drafting services to minimize the unique risk associated with such transactions.
