Biography

HORINE YE focuses on cross-border leveraged and acquisition finance, fund-level financings, syndicated facilities, loan restructurings, asset finance, and project financings.

Prior to joining Sidley, Horine practiced in the New York, Singapore, Beijing, and Hong Kong offices of other U.S. law firms.

Horine is fluent in English, Mandarin Chinese, and Cantonese.

Representative Matters

Horine’s experience includes representing*:

  • KKR and Barghest Building Performance (bbp), a leading energy-savings-as-a-service provider for heating, ventilation, and air conditioning (HVAC) systems in Asia, on the sale of bbp to Actis, a leading growth markets investor in sustainable infrastructure.
  • Jervois Global Limited, an Australia-headquartered global supplier of advanced manufactured cobalt products with mining and refining operations, and certain affiliates in their prepackaged Chapter 11 cases.
  • Amartha Nusantara Raya (Amartha), a Jakarta-based microfinance technology platform, on a financing by the U.S. International Development Finance Corporation (DFC), which invests in development projects in lower and middle-income countries.
  • Shandong Weigao Group Medical Polymer Company Limited (HKEX: 1066, Shandong Weigao Group) on the successful signing of the loan agreements with International Finance Corporation, a member of the World Bank Group and the largest global development institution focused on the private sector in developing countries (“IFC”), pursuant to which loans with an aggregated principal amount of up to US$250 million (equivalent to approximately HK$1.95 billion) will be made available to the Borrowers, a wholly owned subsidiary of the Company. Shandong Weigao Group is a medical device company in China, principally engaged in the research and development, production, and sale of single-use medical devices.
  • Ninja Van Group, Southeast Asia’s leading tech enabled logistics organization, on a 3-year committed US$50 million revolving credit facility from HSBC.
  • Blue Earth Capital AG (BlueEarth), a Switzerland-headquartered global impact investor, in connection with a direct-credit investment into Q Collection Pte. Ltd., a leading vertically integrated apparel manufacturer headquartered in Singapore and with manufacturing operations in Bangladesh. This collaboration marks BlueEarth’s first sustainability-linked loan.
  • Stonepeak on its strategic, preferred share investment into AGP Sustainable Real Assets, a Singapore-based global infrastructure and real assets developer and operator. “Highly Commended” for “Best Infrastructure Deal – Singapore/APAC”, FinanceAsia Achievement Awards 2024.
  • R-Bridge Healthcare Fund, a subsidiary fund of healthcare-focused CBC Group, on a US$40 million royalty-backed financing to Yisheng Biopharma Co., Ltd. This is the first royalty-backed financing in China’s biopharmaceutical industry. The deal has been named as one of the “Deals of the Year 2022” by China Business Law Journal and shortlisted for “Deal of the Year: Loan” at the IFLR Asia-Pacific Awards 2023.
  • A private equity backed digital infrastructure platform on a capital expenditure financing advancing amounts based on recurring revenues and contracted receivables.
  • Apollo as Singapore counsel on its financing to Yondr Group.
  • East West Bank
    • on subscription line and other fund financings.
    • on the financing in connection with the acquisition by Lunar Capital of a majority stake in The Women’s Clinic Group.
    • on fund financings to Asia-based funds.
  • GIC in connection with its commitment to NextDecade Corporation’s (NextDecade) (NASDAQ: NEXT) Phase 1, US$18.4 billion LNG project, winner of Project Finance International’s “Deal of the Year” award, 2024.
  • FountainVest Partners
    • on the leveraged financing for its acquisition of Dairy Queen and Papa John’s Pizza in China.
    • on the leveraged financing for its acquisition of CJ Rokin Logistics and Supply Chain.
    • on fund-level financings.
  • LionRock Capital
    • on the debt restructuring in connection with its acquisition of a majority stake in leading shoe manufacturer and retailer Clarks.
    • on the financing aspects of its acquisition of International Sports Capital S.p.A., which holds 31.05% shares in the football club Inter Milan.
    • on the financing by Oaktree Capital to entities affiliated with Inter Milan.
  • PAG Asia (and, later, Madison Pacific) as security agent in respect of the sale of secured assets and distribution of related proceeds in connection with a financing to the Zhonghong Group for the purchase of shares in SeaWorld Entertainment, Inc. (NYSE: SEAS).
  • Blue Earth Capital on its financing to PT Trihamas Finance.
  • Ally Bridge Group, Catalys Pacific, TR Capital, Tybourne Capital and a number of other Asia-based funds on their subscription line, GP, and management fee facilities.
  • Private equity sponsors, including Hillhouse Capital and TA Associates on the financing aspects of a number of transactions and potential transactions.
  • AirAsia in the over $1 billion sale of its aircraft leasing operations to BBAM.
  • Apollo Aviation in an over $500 million asset backed securitization (ABS). 
  • Industrial and Commercial Bank of China (ICBC) and the Export-Import Bank of China (CEXIM) on the financing for the Duyen Hai II 2x600 MW coal-fired power plant located in Vietnam.
