Sidley Continues to Expand Real Estate Practice With Jonathan Gaynor

New York – Sidley is pleased to announce that Jonathan Gaynor has joined Sidley’s office in New York as a partner in the firm’s Real Estate practice. Mr. Gaynor joins from Dechert LLP.

Mr. Gaynor represents lenders and borrowers in commercial real estate finance, with a focus on repurchase and warehouse facilities, loan-on-loan and note-on-note financings, and other back-leverage arrangements for commercial mortgage loans and CRE securities. His clients include banks and other financial institutions, mortgage REITs, private credit and real estate debt funds, and insurance companies. His experience on both sides of these financings gives him a broad perspective on the market and a clear view of how terms are evolving.

Mr. Gaynor has negotiated hundreds of repurchase, warehouse, and loan-on-loan facilities with aggregate capacity of more than US$50 billion, advising clients on both programmatic and bespoke financing structures tailored to specific capital, credit, and regulatory objectives. He has designed innovative structures — including swing-line repurchase facilities and hybrid loan/securitization structures — that provided liquidity when capital markets were closed. He is also a recognized leader in single-family rental (SFR) securitization and finance, having led more than 50 SFR securitizations totaling more than US$20 billion and developing several market-moving features that improved attachment points and transaction efficiency. His broad experience across the real estate and structured finance markets positions him to integrate seamlessly with Sidley’s Real Estate group and Global Finance practice, further strengthening the firm’s vertically integrated structured finance platform spanning origination, securitization, CLO, and back leverage capabilities.
