Sidley represented Darling Ingredients Inc. in the issuance by its finance subsidiary, Darling Global Finance B.V., of €750 million in aggregate principal amount of 4.5% senior notes due 2032. The notes and related guarantees were issued under an indenture between Darling Global Finance B.V., the guarantors set forth therein, and GLAS Trust Company LLC as trustee. The proceeds of the notes, together with proceeds from drawings under new senior secured credit facilities, were used to repay Darling’s existing senior secured credit facilities, redeem Darling Global Finance B.V.’s existing euro notes, and to pay the costs, fees, and expenses related to the refinancing.
