Sidley represented affiliates of Castle Creek Capital, a shareholder of Middlefield Banc Corp., in connection with Farmers National Banc Corp.’s announced all-stock merger with Middlefield.
Under the agreement, Middlefield shareholders will receive 2.6 shares of Farmers common stock for each share of Middlefield, valuing the transaction at approximately US$299 million based on Farmers’ October 20, 2025 closing price. The merger, unanimously approved by both boards, is expected to close in the first quarter of 2026, subject to shareholder and regulatory approvals.
The combined company will have approximately US$7.4 billion in assets and 83 branch locations across Ohio and western Pennsylvania, strengthening Farmers’ footprint and creating a larger community-focused banking platform.
