Biography

AYO BADEJO is a partner in the firm’s New York office and practices in the M&A and Private Equity group. Ayo concentrates his practice in corporate and securities matters, including mergers and acquisitions, corporate structuring activities and corporate governance. Ayo has represented companies ranging from emerging growth companies to private equity firms and Fortune 500 companies in a broad range of industries, including financial institutions, financial service companies, healthcare providers and manufacturers, in complex transactions as well as in support of their day to day operations.

Ayo was featured as a “Rising Star” by The Deal in its “Top 21 New M&A Law Partners” list, which identifies the most promising new M&A partners of 2019. In 2021, he was elected to the board of trustees of the United Way of Northern New Jersey.

  • Lighthouse Investment Partners, LLC in its acquisition of the Pamli Global Credit Strategies business from Fir Tree Capital Management.
  • A substantial institutional investor in Convex Group Limited (“Convex”) in Convex’s US$7 billion sale to Onex Corporation and American International Group, Inc.
  • GIC in connection with its commitment to NextDecade Corporation’s (NextDecade) (NASDAQ: NEXT) Phase 1, US$18.4 billion LNG project, winner of Project Finance International’s “Deal of the Year” award, 2024.
  • Eurazeo in its acquisition of a majority stake in Cranial Technologies
  • Mavenir in connection with a US$500 million private placement by Koch Strategic Platforms, a subsidiary of Koch Investments Group
  • GIC in the acquisition by affiliates of Blackstone Infrastructure Partners, Enagas, GIC, NPS and USS, of all of the publicly held outstanding Class A Shares of Tallgrass Energy LP
  • Siris Capital Group, LLC with respect to the agreement under which affiliates of Siris will acquire U.S. TelePacific Holdings Corp. 
  • Siris Capital Group, LLC in its US$2 billion acquisition of Web.com Group, Inc.
  • Siris Capital Group, LLC in the sale of its portfolio company, Polycom, Inc., to Plantronics, Inc. for a combination of stock and cash consideration valued at US$2 billion
  • Colliers International Group in its acquisition of Harrison Street Real Estate Capital
  • Starwood Waypoint Homes in a stock-for-stock merger-of-equals with Invitation Homes, with a combined enterprise value of approximately US$20 billion
  • FelCor Lodging Trust in a stock-for-stock merger with RLJ Lodging Trust, with a combined enterprise value of approximately US$7 billion
  • Siris Capital Group, LLC in its US$2 billion acquisition of Polycom, Inc. 
  • Siris Capital Group, LLC in its US$654 million acquisition of Xura, Inc.
