Biography

ALISTAIR DUNLOP advises asset managers, private equity sponsors, investment managers, investors, issuers, and other market participants on a broad range of structured finance, asset-based finance, and securitization transactions. His practice focuses on strategic partnerships between private equity sponsors and loan originators, forward flow and portfolio sales, back leverage transactions, and other structured products involving both traditional and alternative asset classes.

Alistair has extensive experience in complex financing transactions backed by consumer, student, and residential mortgage-backed assets. He also advises on credit risk transfers, collateralized loan obligations, and other structured finance products.  

Alistair counsels clients in connection with specialty finance platforms, servicing structures, warehouse financings, pass-through certificate programs, and securitization transactions. His practice frequently involves innovative financing structures designed to support capital formation, risk transfer, and liquidity objectives across evolving credit markets.

Drawing on extensive experience across the structured finance and alternative asset sectors, Alistair helps clients develop and execute sophisticated financing solutions tailored to their investment, funding, and risk-management strategies.

Alistair is ranked in the 2026 edition of Legal 500 United States for Structured Finance: Derivatives and Structured Products and Structured Finance: Securitization.

  • A leading investment manager in connection with financings of Bankers Healthcare Group loans.
  • Advised a leading asset manager on the acquisition and financing of Funding Circle loans.
  • A leading private equity sponsor on the acquisition and financing of GoodLeap loans.
  • KKR in connection with the ABF transaction related to its participation in a consortium acquisition of GreenSky.
