Biography
MARIAN FIELDING helps clients draft a variety of plan documents, such as employment agreements, severance agreements, and performance and equity compensation arrangements. In addition, Marian’s experience includes assisting on the employee benefits aspects of mergers, acquisitions, and other corporate transactions and advising clients regarding executive compensation disclosure under the federal securities laws.
Marian received her J.D. from Stanford Law School and her B.S. and MBA in business administration from Florida A&M University.

- Stonepeak Infrastructure Partners, a leading alternative investment firm specializing in infrastructure and real assets, in its equity commitment with Longview Infrastructure, a newly formed electric transmission development and investment platform.
- Sagard Healthcare Partners (Sagard) in providing up to US$250 million in non-dilutive financings to Nuvation Bio Inc. (NYSE: NUVB), a global biopharmaceutical company tackling some of the greatest unmet needs in oncology.
- A fund managed by Macquarie Asset Management in its agreement to acquire a 40% equity interest in Diamond Infrastructure Solutions (Diamond) from Dow Inc. for approximately US$2.4 billion. Diamond provides specialist infrastructure services to Dow and other industrial customers at five Dow manufacturing sites in Texas and Louisiana.
- National Western in its US$1.9 billion acquisition by an affiliate of Prosperity Life.
