
Biography
ROB HAGAN has a deep background in securitization and structured finance matters. Throughout his career, Rob has been a trusted advisor to asset managers, funds, servicers, and other financial institutions in publicly- and privately-offered asset-backed securitizations and resecuritizations across a broad range of asset classes, including residential and commercial mortgage loans of varying credit quality and types (including specialty products such as investor loans, HELOCs, closed-end seconds, eNotes, Ginnie Mae early buyout loans, FHA insured mortgage loans, SBA guaranteed loan pool certificates, and the unguaranteed portions of SBA 7(a) loans), CPACE assets, credit risk transfer securities, auto loans, dealer floorplan receivables, consumer receivables, real estate owned property, and other asset-backed products.
In recent years, Rob has focused his practice primarily on residential and commercial mortgage loans and adjacent products, including fix-and-flip and bridge loans, mortgage servicing rights, excess servicing strips, and servicing advance receivables. Rob has extensive experience representing the seller/borrower side in bespoke structured repo and secured loan transactions (including back leverage) to originate, acquire, and/or hold mortgage loans and related products, and the disposition of those assets via securitization.
Rob also advises sellers, servicers, and purchasers on mortgage loan purchase and sale agreements, servicing agreements, servicing rights purchases, and sales and servicing transfers.
Experience
Representative Matters
- An asset manager and its affiliated funds and operating companies in connection with separate securitization programs in respect of non-performing and reperforming mortgage loans in the years following the 2008 credit crisis, jumbo mortgage loans, non-owner-occupied investor mortgage loans, closed-end second lien loans, and Ginnie Mae EBOs.
- An asset manager and its affiliated funds and operating companies as seller/borrower in standing up repo or secured loan facilities with a multitude of banks and other asset managers for the acquisition and holding of residential and commercial mortgage loans, including HELOCs, closed-end seconds, investor loans, Ginnie Mae EBOs, and similar products.
- An operating company as seller/borrower in several repo and warehouse lending facilities to finance agency-eligible and non-agency-eligible new origination mortgage loans.
