MANDY KONDO advises emerging and established fund managers on a range of legal and strategic issues related to the formation, operation, and regulation of venture capital funds, as well as the structuring, negotiation, and execution of investments, exits, and secondary transactions.
As fund counsel, Mandy draws on her market insights and expertise to provide strategic advice and to prepare and advise on all the documents needed for the fundraising process — from term sheets and pitch decks to fund agreements, side letters, and legal opinions — as well as upper tier structuring and governing documents. She has extensive experience in negotiating with various participants in the fund formation process, including investors, private placement agents, and gatekeeper organizations. In connection with her fund practice, Mandy has obtained knowledge and experience working with various securities laws (such as the Investment Advisers Act of 1940, Securities Act of 1933, and the Investment Company Act of 1940), tax planning and accounting issues, and other regulatory matters affecting investment firms and the funds they manage.
Prior to law school, she lived and worked in Washington, D.C., Yosemite National Park, Japan, Indonesia, Hong Kong, and the Philippines, where she garnished rich experiences and invaluable perspectives that routinely shape her practice and daily life.
