Biography

COURTNEY LUSTER represents various private and public companies, private equity sponsors, and portfolio companies in complex business transactions in connection with mergers, acquisitions, divestitures, and restructurings.

Courtney earned her J.D. from Southern Methodist University Dedman School of Law, graduating magna cum laude and Order of the Coif. While in law school, Courtney served as the managing editor of the Journal of Air Law and Commerce for the SMU Law Review Association. She held internships at American Airlines, an international law firm, and Sabre Corporation. Other activities she participated in during law school include serving as an officer and student representative of the Honor Council, a member of the Student Bar Association, a mentor for the Academic Success Program, and a member and vice magister for the Phi Delta Phi legal honor society.

  • Ares Management Corporation – US$1.1 billion acquisition of Meade Pipeline Co LLC.
  • Morgan Stanley Energy Partners and its portfolio company, Presidio Investment Holdings LLC – US$660 million business combination of Presidio Investment Holdings LLC with EQV Ventures Acquisition Corp. (NYSE: EQV).
  • Merit Street Media, Inc., a Texas-based television and digital media company, in its Chapter 11 filing in the United States Bankruptcy Court for the Northern District of Texas, and in the successful negotiation of US$21.4 million in debtor-in-possession financing.
  • Eagle Materials Inc. (NYSE: EXP) – a leading manufacturer of construction products and building materials, in its acquisition of aggregates business Bullskin Stone & Lime, LLC (pending).
  • Funds advised by Wafra Inc. in the pending acquisition of Aquila Air Capital from funds managed by Warburg Pincus LLC.
  • Rithm Capital – in its pending US$720 million acquisition from Computershare Limited of Computershare Mortgage Services Inc. and certain affiliated companies, including Specialized Loan Servicing LLC, comprising Computershare’s U.S. Loan Services business.
  • AppHarvest, Inc. – represented AppHarvest, Inc. and its subsidiaries in their Chapter 11 cases in the U.S. Bankruptcy Court for the Southern District of Texas, which were confirmed in less than sixty days and resulted in the orderly sale of the company’s assets, including state-of-the-art greenhouse farm facilities, real property assets, and intellectual property, through a series of transactions under section 363 of the U.S. Bankruptcy Code.
  • Stonepeak Infrastructure Partners – US$200 million investment in TeleGuam Holdings, LLC, Guam’s leading digital infrastructure provider of data center, broadband, wireless, and subsea cable landing services.
  • Tailwater Capital LLC and Copperbeck Energy Partners LLC (“Copperbeck”) – sale of Saconix LLC, an industry-leading distribution and logistics partner and subsidiary of Copperbeck, to Sumitomo Corporation of Americas.
  • Denali Capital Acquisition Corp. – represented Denali Capital Acquisition Corp., a publicly traded special purpose acquisition company, in its pending business combination with Longevity Biomedical, Inc.
  • Tailwater Capital LLC – acquisition by a Tailwater-led consortium of Verdad Resources Holdings LLC, an independent oil and gas exploration and development company.
  • Discovery Education – represented Discovery Education, a global edtech company backed by Clearlake Capital Group, L.P., in its acquisition of Minneapolis, MN-based Pivot Interactives SBC.
  • Public Sector Pension Investment Board – represented PSP Investments in its investment in United Talent Agency.
  • American Airlines – represented American Airlines in its agreement with Denver-based aerospace company Boom Supersonic to purchase supersonic aircraft and work together on a sustainability initiative.
