EDWIN L. NORRIS is the partner in charge of the Tax group in the Los Angeles office of Sidley. He practices primarily in the areas of federal and state business taxation, focusing on the planning and implementation of complicated, tax-intensive transactions. He also handles complex tax controversies.
Mr. Norris has extensive experience in resolving the complex tax issues presented by large business transactions, especially acquisitions, joint ventures and financing transactions relating to the motion picture, energy, pharmaceutical and real estate industries.
Mr. Norris provides tax advice to a number of large domestic and offshore hedge funds, private equity funds and real estate funds, including counseling them regarding formation and operational issues and assisting them with the structuring of a wide variety of alternative investment transactions.
Mr. Norris has been heavily involved in inbound and outbound international transactions for more than 35 years. For the past 28 years, he has represented a major motion picture studio as its principal outside tax counsel, advising the studio in connection with a variety of domestic and international joint ventures, film financing transactions, acquisitions and dispositions. Recently, Mr. Norris has been the studio’s outside counsel principally responsible for the design and implementation of a complex international joint venture for the production and distribution of more than $7 billion of theatrical motion pictures.
Mr. Norris has extensive experience in transactions involving the energy sector, including acquisitions and joint ventures involving upstream, midstream and downstream oil and gas assets.
Mr. Norris also has substantial experience in technology transactions, including recent acquisitions and ventures relating to internet businesses, pharmaceutical compounds and other intellectual property.
Mr. Norris has lectured on a variety of federal and state tax matters, has authored numerous tax articles and has taught a law school course on international business transactions. Mr. Norris is recognized in the 2012 through 2017 editions of Legal 500 as recommended in Domestic Tax: West Coast.
