Nikita Ponomarev

NIKITA PONOMAREV’s practice spans a wide range of commercial and transactional matters, including mergers and acquisitions, fund investments, and corporate governance matters, amongst others.

Prior to joining Sidley, Nikita worked at one of Canada’s top business law firms where he represented buyers and sellers in mergers and acquisitions transactions involving both private and public companies primarily in the technology and natural resource industries. He also advised issuers and underwriters in a variety of capital markets transactions. 

Nikita holds a dual J.D./MBA degree from Osgoode Hall Law School and the Schulich School of Business in Toronto, Canada.

Nikita is fluent in Russian.

• Pyxis Oncology, Inc. in its agreement to acquire Apexigen, Inc.
• Siris Capital Group, LLC in connection with its sale of a portion of its interest in Web.com Group, Inc. to Clearlake Capital Group, L.P., along with a concurrent business combination and spinout.
• A private equity sponsor in connection with the sale of one of its portfolio companies in the payments, financial and telecommunications industries.
• The underwriters in connection with First Republic Bank’s offerings of approximately US$559 million of common shares.
• Summit Partners on its €50 million minority investment in Solactive AG, a technology-enabled provider of indices and index solutions to the global financial services industry.
• The underwriters in connection with First Republic Bank’s offerings of approximately US$1.2 billion of Series K and Series L depositary shares.
• Affiliates of Apollo Global Management, Inc. in providing a US$500 million senior secured loan to, and its commitment to buy over the next 12 months the lesser of 4.9% or US$50 million in the common shares of, MFA Financial, Inc.
• Affiliates of Fortress Investment Group LLC in its US$43.9 million acquisition of Finjan Holdings, Inc.
• Summit Partners on its US$37 million investment in Appway AG, a leading global provider of business process automation software focused on customer onboarding and customer lifecycle management for financial institutions.
