Biography
MICHAEL ROSENFIELD is head of the firm’s Financial Institutions group in California. His practice focuses on insurance regulatory and corporate matters for insurers, insurance intermediaries and institutional investors. Michael routinely advises on mergers and acquisitions involving regulated insurance entities, insurance holding company system compliance matters, organization and licensing of insurance entities, non-admitted insurance issues, financial and market conduct examinations and reinsurance transactions, among other corporate transactions and insurance regulatory matters. He also represents non-insurance clients, such as banks, private equity firms, mutual fund managers, retailers, mortgage lenders, benefit administrators and professional employer organizations, with respect to insurance company and producer relationships and transactions.
In 2022, Michael was named to BTI Consulting Group’s Client Service All-Stars report, which asks corporate counsel to name, unprompted, those lawyers who deliver “the absolute best in client service.” Michael has also received recent recognition in The Best Lawyers in America® (2026) for his work in Insurance Law.

- Farmers Insurance Exchange on insurance regulatory matters in its offering of US$300 million in surplus notes.
- Farmers Exchanges in the US$760 million sale of three brokerage entities and its flood program servicing arm to Farmers Group, Inc.
- National Western Life on insurance regulatory matters in its US$1.9 billion acquisition by an affiliate of Prosperity Life.
- American National Insurance on insurance regulatory matters in its US$5.1 billion acquisition by Brookfield Asset Management Reinsurance Partners.
- Farmers Insurance Exchanges jointly with Farmers Group, Inc. in the US$3.94 billion acquisition of MetLife’s property and casualty business, MetLife Auto & Home.
- Health Net Inc. on insurance regulatory matters in its US$6.8 billion acquisition by Centene Corporation.
- Kuvare Holdings’ subsidiary Guaranty Income Life Insurance Company on insurance regulatory matters in its acquisition of Lincoln Benefit Life Company, making Kuvare an insurance conglomerate with assets exceeding US$13 billion.
- Security Benefit and its subsidiary Everly Holdings on insurance regulatory matters in the acquisition of Settlers Life Insurance Company from National Guardian Life.
- ProAssurance Corporation on insurance regulatory matters in its US$450 million (plus contingent consideration of up to US$150 million) acquisition of NORCAL Insurance Company.
- Kemper Corporation on insurance regulatory matters in its US$1.6 billion acquisition of Infinity Property and Casualty Corporation.
- Numerous insurers in connection with their sale of more than US$2.5 billion in California wildfire subrogation claims.
