
Biography
MICHAEL SWEENEY focuses his practice on public and private capital market transactions, including commercial real estate collateralized loan obligation (CRE CLO), infrastructure collateralized loan obligation (CLO), commercial mortgage-backed securitization (CMBS), and auto loan and lease asset-backed securitization (ABS) transactions. Mike represents issuers, collateral managers, collateral advisers, placement agents, initial purchasers, borrowers, lenders, and asset managers in a broad range of financing transactions, with a particular focus on Rule 144A, Regulation S, and 4(a)(2) private placements. Mike has significant experience structuring and negotiating warehouse and interim financing facilities and other secured lending arrangements, providing counsel across the lifecycle of structured credit transactions — from origination and interim financing through capital markets execution. He also advises on privately negotiated capital markets transactions, including re-securitizations, bespoke asset-backed offerings, and other privately placed structured transactions.
Mike received his J.D. from Cornell Law School and his B.A. from Yale University, where he was a member of the varsity lacrosse team.

- Lenders and borrowers in warehouse and interim financing facilities for auto loans and leases.
- Issuers and underwriters in public and private offerings of asset-backed securities (ABS) backed by auto loans and leases.
- Greystone & Co. and their affiliated entities in a series of CRE CLOs transactions backed exclusively by bridge loans provided by Greystone on healthcare-related properties, including the first-ever 100% healthcare-backed CRE CLO.
- Subsidiaries of Bridge Investment Group in connection with a series of CRE CLO transactions backed by commercial real estate loans.
- Invesco Commercial Real Estate Finance Trust, Inc. and their affiliated entities in their inaugural CRE CLO transaction, which as of the issuance date, represented the largest diversified CRE CLO issued in the U.S. in the past three years.
- Subsidiaries of Starwood Property Trust, Inc. in a series of CLO transactions backed entirely by infrastructure loans.
- Distributed Solar Development, LLC in a US$155 million private notes offering that securitized a portfolio of commercial and industrial and community distributed generation assets.
- MacKay Shields in connection with the formation of their Term Asset-Backed Securities Loan Facility (TALF) Fund in 2020, which was the first such TALF Fund formed under the re-established TALF program in March 2020.
- An issuer on the first-ever 100% fixed rate loans CRE CLO.
