JAVIER DAZA ROSSI advises financial institutions, sponsors, and investors on corporate and project finance, debt capital markets, and mergers and acquisitions transactions across the U.S. and Latin America. His practice is primarily focused on the financing and acquisition of energy, transportation, and infrastructure assets, with experience in both cross-border and domestic transactions.

Representative Matters
United States
- The underwriters, J.P. Morgan Securities, LLC; RBC Capital Markets, LLC; and KeyBanc Capital Markets, Inc., in connection with the issuance by the Public Finance Authority of its US$3.438 billion Senior Lien Toll Revenue Bonds, Series 2025 (Georgia SR 400 Express Lanes Project). The proceeds from the sale of the bonds were loaned to SR 400 Peach Tree Partners, LLC to finance a portion of the approximately US$12 billion SR 400 Express Lanes Project. The project was recognized as the “2025 Transport Deal of the Year, North America” by IJGlobal, “2025 North America Transport Deal of the Year” by Proximo, “2026 Americas Infrastructure Deal of the Year” by Project Finance International (PFI) and “PPP Financing Deal of the Year 2026” by The Bond Buyer.
- NTE Mobility Partners Segments 3 LLC in connection with a ~$457M senior forward delivery bond financing for the North Tarrant Express Segments 3A, 3B, and 3C project in Fort Worth, Texas.
- The initial purchaser and remarketing agent in connection with the issuance of ~US$370 million of senior variable rate demand bonds.
- The lenders, ING Capital LLC, JPMorgan Chase Bank, N.A., and Royal Bank of Canada, in connection with a US$350 million credit facility and the note purchasers of US$475 million of senior secured notes, the proceeds of which will all be used to refinance SH 130 (Segments 5 and 6).
- Axium Campus Housing LLC and its subsidiaries in connection with the issuance of US$324.8 million of senior secured notes sold in a 4(a)(2) private placement and an approximately US$21 million letter of credit facility to refinance a portfolio of student housing projects consisting of over 2,200 beds.
- Barclays Capital Inc. in connection with the purchase of $286 million of Public Finance Authority Senior Lien Revenue Bonds (Puerto Rico Toll Roads Monetization Project), Series 2024.
- National Bank of Canada and KeyBank National Association in connection with a US$121 million term loan and revolving loan facility provided to JW Water Holdings, LLC, a leading mid-market regulated water and wastewater utility platform consisting of 18 subsidiary water and sewer utilities serving over 50,000 customers in Arizona.
Latin America
- Enel Generación Chile S.A. and Enel Green Power Chile S.A. in the sale of receivables by both entities, alongside 24 other Chilean generation companies, to IDB Invest for US$2.4 billion, followed by a complex securitization transaction in the international capital markets to finance the purchases. The receivables were issued under a Chilean electricity tariff stabilization program. This deal was named “Bond of the Year – Private Placement, Latin America” by IJGLobal Americas Awards 2024; “Bond of the Year” by LatinFinance Awards 2024, and Power Finance Deal of the Year Award by Global Banking & Markets 2026.
- Grupo Calleja in connection with its acquisition of Almacenes Éxito. Grupo Calleja acquired 86.84% of Éxito’s issued and outstanding shares for a purchase price of ~US$1.2 billion – one of the first dual tender offers for equity securities of a publicly traded company in Colombia. The transaction was recognized as IFLR’s 2025 “M&A Deal of the Year.”
- Suministradora de Buses K Cuatro SpA, along with its sponsors Inversiones Kaufmann, S.A., and InfraBridge Ebus Chile SpA, in a US$344 million financing package for an electric bus fleet in Santiago, Chile. The lenders are International Finance Corporation (IFC), Inter-American Investment Corporation (IDB Invest), and Banco del Estado de Chile (BancoEstado). The project has a total estimated value of US$422 million. With a total of 992 electric buses, this project contributed to the creation of the largest electric bus fleet in the Americas and the second-largest electric bus fleet in the world. This deal received the “Highly Commended – Environmental Impact Award” at the 2024 P3 Awards Ceremony.
- Diaco S.A., Metaldom S.A., and Four Bell Resources Inc. in connection with a triple currency financing.
- Sociedad Química y Minera de Chile S.A. (SQM) in connection with its multi-tranche US$200 million financing provided by Banco Santander, S.A. and The Export-Import Bank of Korea.
- Empresa de Acueducto y Alcantarillado de Bogotá (EAAB), a Colombian State-owned water and sewage company, in connection with a ~$100 million (COP-equivalent) credit facility with IDB Invest.
- One Communications (Guyana) Inc. in connection with a credit facility provided by Inter-American Investment Corporation (IDB Invest) to finance the deployment of a mobile and fixed broadband and telecommunications network and operating and capital expenses related to the operation of its telecommunications infrastructure.
