Sofian Dhifallah

SOFIAN DHIFALLAH advises clients on a wide range of corporate transactions, including private mergers and acquisitions, joint ventures, and reorganizations. His clients include multinational corporates, governmental entities, and family offices.

Prior to joining Sidley, Sofian started his career in London, where he gained experience in the Corporate/M&A practice at a Magic Circle firm. He later relocated to Dubai, where he continued his career with another international law firm.

Sofian is fluent in Arabic.

His recent experience includes representing and advising:

• A majority state-owned Saudi company in connection with the reorganization and privatization of its aviation business.
• A global asset manager in connection with its proposed acquisition of a minority interest in a Turkish airport operator that holds the concession to operate a Saudi airport.
• A Saudi agrifood investor in connection with its proposed acquisition of a 65% stake in a Singaporean agribusiness (following the Saudi investor’s earlier acquisition of a 35% acquisition in 2022 for US$1.24 billion).
• A diversified investment manager in connection with its acquisition of a majority stake in a Danish financing company from a private equity firm and pension funds.
• A GCC-based government ministry in connection with the investment, by a U.S.-based technology company, of over US$5.3 billion to launch an infrastructure region.
• Two U.S.-based alternative investment managers and one U.S.-based private equity firm on the equity financing of an insurance company.
• A global digital infrastructure investment firm in connection with its acquisition of telecom tower portfolios from two leading Icelandic mobile network operators to create the first independent tower company of scale in Iceland.
• A leading offshore wind developer in connection with its sale of a 50% interest in an offshore windfarm.
• A U.S.-based investment firm in connection with its sale of a 40% stake in a Portuguese manufacturer to a Canadian pension fund.
• A global integrated security company in connection with the separation and sale of the majority of its conventional cash business to a U.S.-based cash management solutions company, for US$860 million.
• A South African retail company in connection with the restructuring of its European operating business.
• A dual-listed consumer goods company in connection with the carve-out and sale of its global spreads business to a leading global investment firm for US$8 billion.
