Congress Raises Filing Fees for Large Deals, Adds Foreign Subsidy Disclosure Requirement and Enables States to Retain Home Venue

The Consolidated Appropriations Act, 2023 (Act), which was passed by Congress and signed into law by President Joe Biden on December 29, includes significant changes in merger control and state enforcement of the antitrust laws. First, it changes the fee structure for transactions that must be notified under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the HSR Act); second, it adds disclosure requirements to HSR notification filings for companies receiving subsidies from certain foreign entities; and third, it strengthens the ability of state antitrust enforcers to retain cases at their home venue. The Act also increases the antitrust enforcement budget for fiscal year 2023, with an additional $48 million for the Federal Trade Commission (FTC) and an additional $35 million for the Antitrust Division of the Department of Justice (DOJ).
