Biography

PANOS APOSTOLIDIS advises private equity sponsors, issuers, underwriters, and other financial institutions on a broad range of debt and equity capital markets transactions and U.S. securities law matters. With a particular focus on high-yield debt offerings, he has experience advising on complex cross-border financing transactions, liability management exercises, and financial restructurings.

Representative Matters

Panos recent experience includes advising:

  • Private equity portfolio companies across the healthcare, market research, software, and infrastructure sectors on debut and follow-on high-yield bond offerings.
  • Private equity sponsors on acquisition financings, bridge-to-bond structures, and financing commitment papers for competitive auction processes.
  • Corporate issuers in the automotive, energy, utilities, refining, and lottery sectors on high-yield bond offerings, refinancing transactions, sustainability-linked notes, and related liability management matters.
  • Initial purchasers and institutional investors on high-yield bond offerings and privately placed bond issuances by major European telecommunications companies and companies in the hospitality, credit servicing, consumer products, shipping and logistics, and human capital services sectors.
  • Initial purchasers on the establishment of a global medium-term note program and a project sukuk issuance by one of the world’s largest integrated energy and chemicals companies.
  • Issuers, sponsors, and creditor groups on tender offers, consent solicitations, exchange offers, debt-for-debt and debt-for-equity exchanges, recapitalizations, and other liability management transactions.
  • Companies and creditor groups on complex cross-border restructurings across the airline, food retail, biopharmaceutical, insurance, broadband, facilities management, and industrial manufacturing sectors, including Chapter 11 and European restructuring proceedings.
