Biography

FLORENCE BARNES advises sponsors, fund managers and institutional investors on a broad range of complex tax matters across the private funds landscape. Her practice focuses on the establishment, structuring and ongoing operation of private equity, private credit and other alternative investment funds across multiple jurisdictions. She provides strategic advice on fund formation, investor structuring, and cross-border tax considerations to ensure commercially efficient and robust outcomes. She also advises clients on primary fund investments and secondary transactions, ensuring tax considerations are aligned with commercial objectives and evolving regulatory frameworks.

In addition to fund structuring, Florence has extensive experience advising on carried interest arrangements, co-investment structures and executive remuneration matters.

Florence is a Chartered Tax Adviser and a member of the Chartered Institute of Taxation (CIOT), reflecting her technical expertise and commitment to the highest professional standards in tax advisory services.

  • A natural resources-focused investment firm on the tax structing and closing of its third fund.
  • A private credit manager on structuring of its €4bn direct lending fund.
